PARTNERSHIP UNDER SECURITIES LAW
This course offers an in-depth exploration of the intersecting areas of partnership law and securities regulation. As an advanced law course, it assumes prior understanding of basic partnership law and securities law principles, and hence delves deeper into complexities, grey areas, and recent developments. The course will explore various forms of partnerships, including general partnerships (GPs), limited partnerships (LPs), and limited liability partnerships (LLPs), and how securities laws apply to them. Emphasis will be placed on the Securities Act of 1933, the Securities Exchange Act of 1934, and pertinent regulatory provisions.
