GOING PUBLIC AND THE PUBLIC CORPORATION
This course provides an in-depth exploration of the legal and regulatory framework governing the transition of a private company to a public corporation. Students will examine the processes, challenges, and key issues involved in taking a company public, as well as the ongoing obligations and responsibilities of public corporations. Topics covered include initial public offerings (IPOs), registration statements, securities laws and regulations, corporate governance, disclosure requirements, and liability concerns. The course will also analyze relevant case law, regulatory developments, and current trends in the field.
